Junior Corporate Legal Counsel
About The Position

We are looking for a Junior Corporate Legal Counsel (2–3 years PQE) to join Gauzy’s global Legal team and work directly with the VP Legal.
This is a true in-house role in a dynamic, fast-moving hi-tech environment: a Nasdaq-listed, international group with operations in Israel, Europe, the US, and Asia. The Junior Counsel will handle day-to-day commercial and corporate work and, depending on skills and capacity, will also be involved in more complex strategic agreements and projects.

Responsibilities
1. Commercial & Strategic Agreements
• Draft, review, and assist in the negotiation of day-to-day commercial contracts, including:
o NDAs
o Purchase and supply agreements
o Service and consulting agreements
o Pilot / POC / evaluation agreements
• When appropriate, support the VP Legal on more complex and strategic matters, such as:
o Frame and long-term supply agreements with key OEMs and strategic customers
o Major supplier and manufacturing agreements
o Cooperation / OEM / technology and licensing agreements
o Support on financing and M&A documentation workstreams
• Maintain and improve contract templates, clause libraries, and basic playbooks to help the business move quickly while managing risk.
• Act as a first point of contact for routine contract questions from Sales, Procurement, Operations, and HR, and escalate issues when needed.
2. Corporate & Governance
• Assist in maintaining corporate records for Gauzy group entities (board and shareholder resolutions, powers of attorney, signatory lists, share registers, etc.).
• Help prepare routine board and committee materials and approvals (resolutions, written consents, standard schedules).
• Support implementation and monitoring of internal governance procedures and signing/approval policies across a multi-jurisdictional group.
3. Compliance & Regulatory Support
• Assist in rolling out and monitoring internal compliance processes (signing authority, approvals, document retention, training materials, etc.).
• Conduct focused research on relevant legal and regulatory topics (companies law, commercial, securities / public-company aspects, privacy, basic employment issues) and summarize them clearly for the business.
• Help coordinate responses to information requests from auditors, financing partners, regulators, and due diligence counterparts.
4. Legal Research, Tools & Knowledge Management
• Perform legal research in relevant jurisdictions and prepare short, practical memos, slide decks, or FAQs for internal stakeholders.
• Help build and maintain the Legal team’s knowledge base: precedents, templates, guidance notes, and internal policies.
• Contribute ideas to improve processes and tooling (e.g., checklists, trackers, basic automation).
5. Coordination with External Counsel & Operations
• Support the VP Legal in managing external counsel (collecting documents, tracking open points, coordinating comments and timelines).
• Organize and maintain transaction files, opinions, and mark-ups in an orderly and accessible way.
• Support the signature process (DocuSign / wet signatures), including internal approvals and coordination with counterparties.
• Maintain trackers for key contracts, disputes/claims, and legal projects; assist with tracking legal invoices and alignment with budgets/fee quotes.
Requirements
Education & Qualifications
• LL.B from a recognized university.
• Licensed attorney in Israel.
Experience
• 2–3 years’ post-qualification experience in a law firm and/or in-house legal department.
• Hands-on commercial and/or corporate experience in a hi-tech and/or international company – must.
• Any exposure to strategic/complex transactions (M&A, financing, strategic partnerships, OEM / JV structures) – clear advantage.
Skills & Competencies
• Strong legal drafting skills and attention to detail.
• Ability to explain legal issues in clear, practical, and business-friendly English (written and verbal).
• Good judgment on when to handle issues independently and when to escalate.
• Strong organizational skills; able to manage multiple matters and deadlines in a fast-moving environment.
• Proactive, curious, comfortable taking ownership of tasks from start to finish.
• High level of integrity, discretion, and professionalism when dealing with confidential information.
Languages
• English – excellent, spoken and written (must).
• Hebrew – excellent spoken and written (must).
• French – advantage.
